Terms & Conditions
The binding contract that governs every order placed, every silicon shipped, and every byte transacted with Thread Processor Corp. Please read carefully — these Terms allocate risk, define warranty scope, and establish the framework of your relationship with us.

Acceptance of Terms
By placing an order, browsing the catalogue, creating an account, or otherwise interacting with any service provided by Thread Processor Corp ("we", "us", "our", or "the Company") you ("you", "the Customer", or "the User") expressly agree to be bound by these Terms & Conditions (the "Terms") in their entirety.
If you do not accept any provision herein, you must immediately cease use of the service, close your account, and refrain from placing further orders. Continued use of any service offered through threadprocessor.corp, its subdomains, or affiliated channels following posted revisions to these Terms constitutes irrevocable acceptance of the revised Terms.
These Terms are deemed effective from the date of your first interaction with the service, even if you have not actively clicked an acceptance checkbox, and remain in force until terminated as described in the Termination section below.
Eligibility & Account Registration
You must be at least eighteen (18) years old, or the age of majority in your jurisdiction (whichever is greater), and legally able to enter into a binding contract under applicable law. Minors may purchase only under the express supervision and account ownership of a parent or guardian who personally accepts these Terms.
You agree to provide accurate, current, and complete information during registration and to maintain that information so it remains accurate. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorized by you.
Accounts found to be registered under false identity, with synthetic identity, via VPN to circumvent geographic restrictions, or for the purpose of bulk arbitrage, scalping, or resale in violation of our anti-scalping policy, may be suspended or terminated without notice and without refund of any pending order.
We reserve the right to refuse service, terminate accounts, cancel orders, and refuse, restrict, or rescind any item from any order at our sole discretion, including after order confirmation.
Orders, Pricing & Currency
All prices are listed in the currency selected by your locale (CAD by default for Canadian visitors) and exclude applicable sales tax, VAT, GST/HST, customs duties, brokerage, and any other governmental charges unless explicitly stated as inclusive on the product page or at checkout.
Prices are subject to change without notice prior to order acceptance. We make every effort to ensure pricing accuracy; however, in the event of a typographical, computational, photographic, or descriptive error — including but not limited to incorrect price, incorrect product image, or incorrect specification — we reserve the right to correct such errors and cancel any order placed at the erroneous price, with full refund of any amount charged.
Order placement constitutes an offer to purchase, not a binding contract. Order acceptance occurs only upon issuance of a dispatch confirmation email containing a tracking number. Until that moment, we may decline, modify, or cancel any order at our sole discretion for any reason permitted by law, including but not limited to inventory shortage, suspected fraud, payment verification failure, or shipping restrictions.
Promotional codes, discounts, and rebates are subject to the specific terms posted with the promotion, cannot be combined unless explicitly stated, expire on the date indicated, and may not be applied retroactively to orders placed before code entry.
Payment, Billing & Fraud Prevention
We accept payment by major credit and debit cards (Visa, Mastercard, American Express, Discover), Apple Pay, Google Pay, and select cryptocurrencies processed via Coinbase Commerce. Full card numbers are tokenized by our PCI-DSS Level 1 certified payment processor and are never stored on our servers.
By submitting payment information you represent and warrant that you are the authorized holder of the payment method, that there are sufficient funds or available credit, and that the billing information you provide matches the information on file with your payment provider.
We employ industry-standard fraud-detection systems including 3-D Secure 2, address verification (AVS), card verification value (CVV) matching, IP geolocation, device fingerprinting, and velocity checks. Orders flagged by our fraud-prevention systems may require additional verification (proof of identity, proof of address, callback confirmation) and may be delayed or cancelled if verification cannot be completed within seventy-two (72) hours.
Chargebacks initiated without first contacting our support team will be contested with full transaction logs, dispatch records, and delivery confirmation. Fraudulent chargebacks may result in account termination, blacklisting across our merchant network, and referral to recovery agencies and law enforcement.
Shipping, Title & Risk of Loss
Shipping options, transit windows, and fees are described in our Shipping Policy and at checkout. Estimated delivery dates are estimates only and not contractual commitments. Carrier delays, customs inspections, force majeure events, and incorrect addresses provided by the Customer are not our responsibility.
Title to goods and risk of loss pass to the Customer at the moment the package is handed to the carrier for dispatch, except where applicable law expressly provides otherwise (notably, certain consumer-protection statutes in Canada and the European Union).
All shipments are fully insured against loss and damage in transit at no additional cost. Claims for non-delivery must be raised within thirty (30) days of the shown delivery or attempted-delivery date. Claims for visible damage must be raised within seventy-two (72) hours of delivery and must include photographs of the package exterior, interior, and damaged contents.
Returns, Refunds & RMA
Our complete returns process is set out in the Refund Policy. Eligible items may be returned for full refund within thirty (30) days of delivery provided they are unused, in original anti-static packaging, with all manuals and accessories, and accompanied by a valid Return Merchandise Authorization (RMA) number.
Refunds are issued to the original payment method within three to five (3–5) business days of receipt and inspection of the returned merchandise. Shipping fees are non-refundable except where the return is necessitated by our error or by a confirmed manufacturing defect.
Custom-binned silicon, special-order parts, items marked "final sale", and any product showing signs of overclocking, delidding, modification, or physical damage attributable to the Customer are non-returnable.
Product Use, Modification & Voided Warranty
Silicon products are sold as-is for their intended use within manufacturer-published operating envelopes. The Customer assumes full responsibility for verifying compatibility with motherboards, chipsets, BIOS revisions, cooling solutions, and power-delivery infrastructure before installation.
Overclocking, undervolting beyond vendor-published curves, delidding, direct-die mounting, voltage tuning outside specification, soldering, BGA reballing, conformal-coating removal, or any other physical or electrical modification is performed entirely at the Customer's own risk. Any damage attributable to such activity — including but not limited to electromigration, thermal runaway, ring-bus instability, IHS detachment, and pin breakage — voids our warranty and is not eligible for RMA.
We provide no representation, express or implied, that any specific silicon sample will achieve any specific overclock, voltage curve, thermal characteristic, or benchmark score. Binning classifications (A+, X3D) reflect statistical batch yield, not individual-unit guarantees.
Intellectual Property
All content on the service — including but not limited to text, copywriting, photography, 3D renders, schematics, technical drawings, motion graphics, product descriptions, typography, layout, code, trademarks, service marks, trade names, trade dress, and logos — is owned by Thread Processor Corp or licensed from third parties and is protected by Canadian, United States, and international copyright, trademark, patent, and unfair-competition law.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the service for personal, non-commercial purposes only. You may not copy, reproduce, distribute, publicly display, modify, create derivative works from, sell, licence, or reverse-engineer any portion of the service without our prior express written consent.
Trademarks of third-party silicon vendors (Intel, AMD, NVIDIA, ARM, Qualcomm, etc.) appearing on the service are the property of their respective owners and are used solely to identify compatible products under nominative-fair-use doctrine.
Prohibited Conduct
You agree not to: (a) use the service for any unlawful purpose; (b) reverse-engineer, decompile, or attempt to extract source code; (c) interfere with or disrupt the service or its infrastructure (including via DDoS, scraping at abusive rates, or vulnerability probing without prior authorisation); (d) impersonate another person or entity; (e) collect personal data of other users; (f) attempt to circumvent geographic, age, or anti-scalping restrictions; (g) upload malicious code; (h) use automated systems (bots, scripts, scrapers) to access the service except for documented public APIs operating within rate limits.
Violations may result in immediate account termination, civil liability, and referral to law enforcement.
Disclaimer of Warranties
EXCEPT WHERE LIMITED BY APPLICABLE LAW AND EXCEPT FOR THE EXPRESS WARRANTIES SET OUT IN OUR REFUND POLICY, THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, nor do we warrant that any information obtained through the service will be accurate or reliable.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THREAD PROCESSOR CORP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY PRODUCT PURCHASED THROUGH IT.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
Some jurisdictions do not permit the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Thread Processor Corp and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from (a) your use of or access to the service; (b) your violation of these Terms; (c) your violation of any third-party right including intellectual-property or privacy rights; or (d) any claim that your use caused damage to a third party.
Termination
You may terminate your account at any time by contacting support or via the account-settings panel. We may suspend or terminate your access immediately, without notice or liability, if you breach these Terms, engage in fraudulent or abusive conduct, or if we are required to do so by law.
Upon termination, your right to use the service ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law) shall survive.
Force Majeure
Neither party shall be liable for any failure or delay in performance to the extent caused by an event beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, embargoes, fab shutdowns, semiconductor shortages, power-grid failures, internet-backbone outages, or other force majeure events.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Any dispute, controversy, or claim arising out of or relating to these Terms or the service shall be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to confidential binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules. The seat of arbitration shall be Toronto, Ontario; the language shall be English; the tribunal shall consist of a single arbitrator.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in the courts of Toronto, Ontario, to protect intellectual-property or confidentiality rights.
Severability & Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
Entire Agreement & Modifications
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Thread Processor Corp regarding the service and supersede all prior or contemporaneous agreements, communications, or proposals.
We reserve the right to modify these Terms at any time. Material changes will be communicated by email to registered users at least thirty (30) days before they take effect, and by prominent notice on the service. Continued use following the effective date constitutes acceptance.
